Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ecosystem Intelligence Platform (“the Platform”) operated by Novaria.ai (“we”, “us”, “our”) at ecosystem.novaria.ai.

By registering for an account, purchasing a subscription, or accessing any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Novaria.ai. We recommend you read them carefully and retain a copy for your records.

3.1 Registration

To access registered or paid features, you must create an account using a valid email address and password, or via Google social login. You must be at least 18 years of age to register. By registering, you confirm that all information provided is accurate and that you will keep it up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at emine@novaria.ai if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from unauthorised use of your account.

3.3 Session Management

Authenticated sessions persist for 72 hours from last activity. Sessions expire automatically after 72 hours of inactivity. You may sign out at any time to invalidate your session immediately.

3.4 Account Tiers

4.1 Subscription Plans

Prices are inclusive of applicable VAT where required by law. We reserve the right to change subscription prices. Where we do so, we will provide at least 30 days’ notice to active subscribers by email before the new price takes effect.

4.2 Billing and Renewal

• Monthly subscriptions renew automatically on the same date each month
• Annual subscriptions renew automatically on the same date each year
• Payment is processed by Stripe. By purchasing a subscription you authorise Stripe to charge your payment method on each renewal date
• You will receive an email receipt for each successful payment

4.3 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable retry attempts, your subscription will be downgraded to the free registered tier and access to paid features will be suspended until payment is resolved.

4.4 Cancellation

You may cancel your subscription at any time via your account settings or by emailing emine@novaria.ai. On cancellation, your paid access continues until the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

4.5 Refunds

We do not offer refunds except where required by applicable law, or at our sole discretion in exceptional circumstances. If you believe you have been charged in error, please contact us within 14 days of the charge at emine@novaria.ai.

5.1 How Profiles Are Created

Company profiles are created automatically using publicly available information gathered via our crawl pipeline. Profiles may also be created manually by our admin team. By operating a publicly accessible business website or LinkedIn company page, companies reasonably accept that their publicly available information may be indexed in B2B directories of this nature.

5.2 Accuracy of Profile Data

We make reasonable efforts to ensure profile data is accurate and up to date, including monthly re-crawling of all profiles. However, we do not guarantee the accuracy, completeness or currency of any profile data. Profile data should not be relied upon as the sole basis for commercial or investment decisions.

5.3 Claiming a Profile

A representative of a listed company may claim their company profile by verifying their identity via a work email address matching the company domain. Verified startup owners may edit, update or delete their profile at any time via the startup owner dashboard.

5.4 Startup Owner Submissions

All data submitted by a startup owner is subject to review by our admin team before going live. We reserve the right to reject submitted data that is inaccurate, misleading, promotional in nature beyond the scope of factual profile information, or otherwise contrary to our content standards. Rejected submissions will be accompanied by a reason.

5.5 Profile Removal

Any company representative may request the removal of their company profile at any time by emailing emine@novaria.ai or via the self-service deletion function in the startup owner dashboard. On removal, all visible data is deleted immediately. An anonymised internal record with no personal data is retained for aggregate analytics purposes only.

5.6 Profile Deactivation by Admin

We reserve the right to deactivate any company profile that does not meet our eligibility criteria or is otherwise deemed unsuitable for the platform. Deactivated profiles are not visible to external users. Where a profile is deactivated, we will endeavour to notify the startup owner if contact details are available.

You agree not to use the Platform to:

• Reproduce, redistribute or resell directory data in bulk without our prior written consent
• Scrape, crawl or otherwise systematically extract Platform content using automated means
• Submit false, misleading or inaccurate information to a company profile
• Impersonate another person or company, or falsely claim startup owner status
• Interfere with or disrupt the operation of the Platform or its infrastructure
• Attempt to gain unauthorised access to any part of the Platform or other users' accounts
• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Transmit spam, unsolicited communications, or malicious code via the Platform

We reserve the right to suspend or terminate accounts that breach these acceptable use rules, without notice where the breach is serious.

7.1 Our Content

The Platform, its design, structure, taxonomy, analytics frameworks, and all original content created by Novaria.ai are our intellectual property and are protected by applicable copyright and database rights. You may not reproduce, distribute or create derivative works from our content without prior written consent.

7.2 Directory Data

Individual company profile data is sourced from publicly available information and from startup owner submissions. We assert database right in the compiled directory as a whole. Individual factual data points about companies are not subject to copyright protection.

7.3 Your Submissions

By submitting data to your company profile, you grant Novaria.ai a non-exclusive, royalty-free licence to display, reproduce and distribute that data within the Platform for the purposes of operating the directory. You represent that you have the right to submit the information provided.

Access to analytics modules is governed by the access control matrix in effect at the time of your subscription. Analytics views are provided for personal research and commercial decision-making purposes. Bulk export, redistribution or resale of analytics data is not permitted without our prior written consent.

Analytics data is provided on an ‘as is’ basis. We do not guarantee the accuracy of derived analytics computations and they should not be relied upon as the sole basis for investment or commercial decisions.

To the maximum extent permitted by applicable law:

• The Platform and all content within it are provided on an 'as is' and 'as available' basis without warranties of any kind, express or implied
• We do not warrant that the Platform will be uninterrupted, error-free or free from viruses or other harmful components
• We are not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Platform
• Our total liability to you for any direct loss arising from use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

You agree to indemnify and hold harmless Novaria.ai, its officers, directors and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Platform, or any data you submit to the Platform.

The Platform integrates with third-party services including Stripe (payments), NewsAPI.org (news data) and hosting providers. Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.

We aim to maintain high platform availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend or discontinue any part of the Platform at any time. Where we make material changes that affect paid subscribers, we will provide reasonable notice by email.

We may update these Terms from time to time. Material changes will be communicated to registered users by email with at least 14 days’ notice before taking effect. Continued use of the Platform following the effective date of updated Terms constitutes acceptance.

We may suspend or terminate your account and access to the Platform if you breach these Terms, if we reasonably suspect fraudulent activity, or if we are required to do so by law. On termination, your right to access the Platform ceases immediately.

You may close your account at any time by emailing emine@novaria.ai. On account closure, your personal data will be handled in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal legal proceedings, we encourage you to contact us at emine@novaria.ai to attempt to resolve the dispute informally. We will endeavour to respond within 10 business days.
